Terms of Service

Welcome to Markup Valley. These Terms of Service ("Terms") are an agreement between you and Markup Valley LLC ("Markup Valley", "we", "us"). They apply when you use markupvalley.com or buy any of our services. By using our website or purchasing a service, you agree to these Terms. If you do not agree, please do not use our services.

1. Who We Are

Markup Valley LLC is a US limited liability company. We help founders around the world start and run US businesses — company formation, EIN and ITIN applications, registered agent service, tax preparation and filing, bookkeeping, and related compliance services. As an IRS-authorized Certifying Acceptance Agent (CAA), we can certify identity documents for ITIN applications.

2. What We Do — and What We Don't

We prepare and file documents, and we guide you through US business and tax requirements. Please understand the limits of our role:

• We are not a law firm. We do not provide legal advice or representation. If you need legal advice about your specific situation, please consult a licensed attorney.
• General guidance is not personal advice. Information on our website, blog, and tools (such as calculators) is for general education only. It is not legal, tax, or financial advice for your specific case.
• We are not a government agency. We are a private company, not affiliated with the IRS or any state agency. Most filings we prepare can also be done directly with the government yourself. Our fees pay for our professional preparation, filing, and support.
• We don't control government decisions. Approval of your LLC, EIN, ITIN, or any filing — and how long it takes — is decided by the IRS or the state, not by us. Processing times we quote are estimates based on experience, not guarantees.
• Banking assistance is assistance only. If we help you apply for a US bank or fintech account, the decision to approve or reject your application belongs to the bank. We cannot guarantee approval.

3. Your Responsibilities

• Give us accurate, complete, and truthful information and documents. Our work depends on what you provide, and government filings based on wrong information can cause penalties or rejections.
• Respond to our requests for information or signatures in a timely way. Delays on your side can delay your filings and deadlines.
• Use our services only for lawful business purposes. We may refuse or stop service if we believe it is being used for fraud, evasion, or any illegal activity.
• Keep your own copies of documents we send you, and keep your contact details with us up to date.

4. Fees and Payment

• Prices for each service are shown on our website or quoted to you before you pay. Payment is due before we begin work unless we agree otherwise in writing.
• Government fees are separate. State filing fees, IRS fees, and similar charges are set by the government. Once we pay a government fee on your behalf, it is non-refundable to us and to you.
• Card processing fee. Payments made by card carry a 3.5% processing fee, shown at checkout. Processing fees are non-refundable.
• If a payment fails or is reversed, we may pause work until it is resolved.

5. Refunds

Refunds are handled under our Refund Policy, which is part of these Terms.

6. Third-Party Services

Some services involve third parties — for example, payment processors, banks, virtual address providers, or state registered agent partners. Those companies have their own terms, and we are not responsible for their decisions, outages, or policy changes. We choose our partners carefully, but your relationship with them is governed by their terms.

7. Communications

By purchasing a service or contacting us, you agree that we may communicate with you by email, phone, and WhatsApp about your orders and services. You can opt out of marketing messages at any time; service-related messages (like a request for a missing document) will continue while we work for you. Our Privacy Policy explains how we handle your information.

8. Intellectual Property

The content on markupvalley.com — text, guides, tools, logos, and design — belongs to Markup Valley LLC. You may read and share it for personal use, but you may not copy, republish, or sell it without our written permission. Documents we prepare for you as part of a paid service are yours to use for your business.

9. Limitation of Liability

We work carefully and stand behind our work. However, to the maximum extent allowed by law:

• Our total liability for any claim related to a service is limited to the amount you paid us for that service.
• We are not liable for indirect losses — such as lost profits, lost business opportunities, or penalties caused by inaccurate or incomplete information you gave us, or by delays and decisions of government agencies, banks, or other third parties.
• If a filing is rejected or contains an error because of a mistake on our side, our first remedy is to correct and refile it at no extra cost to you.

10. Indemnification

You agree to hold Markup Valley harmless from claims or costs that arise from false or incomplete information you provided, your violation of these Terms, or your use of our services for unlawful purposes.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Tennessee, USA, without regard to conflict-of-law rules. If a dispute arises, please contact us first — most issues can be resolved quickly and directly. Any dispute that cannot be resolved informally will be handled in the state or federal courts located in Tennessee, and you consent to their jurisdiction.

12. Changes to These Terms

We may update these Terms from time to time. The current version will always be posted on this page with its "Last updated" date. Changes apply from the date they are posted; significant changes will be communicated to active clients directly.
